By accessing or using the USDC website (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Site. These Terms constitute a legally binding agreement between you and US Data Center ("USDC," "we," "our," or "us").

We reserve the right to modify these Terms at any time. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

USDC provides data center infrastructure services including, but not limited to:

• • Design, construction and operation of hyperscale and AI-ready data center facilities.
• • GPU compute platforms and high-performance computing (HPC) infrastructure.
• • Colocation, power provisioning and cooling infrastructure services.
• • Data Center Infrastructure Management (DCIM) software and monitoring solutions.
• • Sustainable energy infrastructure including renewable energy integration.

Specific service terms, SLAs and pricing are governed by separate service agreements executed between USDC and its clients.

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
• • Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.
• • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.
• • Use any robot, spider, scraper, or other automated means to access the Site without our express written permission.
• • Introduce any viruses, trojan horses, worms, or other malicious or technologically harmful material.

All content on the Site, including but not limited to text, graphics, logos, images, data compilations, software, designs, ARMS platform branding and the USDC brand identity, is the property of USDC or its licensors and is protected by United States and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content on our Site without our prior written consent, except for:

• • Temporary storage in your web browser cache for personal, non-commercial viewing.
• • Printing pages for personal, non-commercial use.

The purchase or use of USDC data center services, including colocation, power, cooling, GPU compute and managed infrastructure, is subject to separate commercial agreements. These Terms of Service govern only your use of the USDC website.

Commercial service agreements will contain specific terms regarding:

• • Service Level Agreements (SLAs) and uptime guarantees.
• • Pricing, payment terms and billing procedures.
• • Acceptable use policies for hosted infrastructure.
• • Liability limitations and indemnification provisions.

Website Disclaimer: The Site and its contents are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Site shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

USDC reserves the right to revise and update these Terms of Service at any time without prior notice. All changes are effective immediately when posted and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means you accept and agree to the changes.
